Termination
This document offers a long and short form boilerplate termination clause for use in business-to-business agreements. Each clause lists events which trigger a party's right to serve a termination notice on the other party, including the other party's default, insolvency or change of control. The long form version contains more termination triggers than the short form equivalent, such as in relation to failure to pay or repeated breach; it also attempts to define material breach. Both clauses offer a right to terminate for convenience (without cause) by giving an agreed period of notice.
