A sales agency agreement designed for appointing a sales agent in the UK to negotiate and conclude contracts for services on behalf of the principal within a specified territory. It is drafted from the principal's point of view, and offers flexible drafting options for exclusive, sole, or non-exclusive agency appointments. The agent's entitlement to commission is calculated by reference to a percentage of the net revenue invoiced each quarter, although commission only becomes due once customer invoices are paid. The agreement sets out both the principal's and agent's core responsibilities and (in the agent's case) limits of authority. It also contains clauses covering compliance with laws and mandatory policies, data protection, intellectual property, termination and professional liability.
