Sales agency agreement: goods
A standard document designed as the basis for appointing a sales agent in the UK to negotiate and conclude contracts for the sale of goods on a principal's behalf. The agreement provides optional drafting so that the appointment can work on an exclusive, sole, or non-exclusive agency basis. It is drafted on the basis that the Commercial Agents (Council Directive) Regulations 1993 (SI 1993/3053) apply, incorporating key non-derogable rights and obligations for both the principal and the agent. It also assumes that the agent is authorised to hold stock and therefore fulfil orders, invoice customers and receive payments on behalf of the principal.
