This standard clause offers three alternative boilerplate notice clauses for commercial agreements: a long form, medium form, and short form version. Each version of the clause specifies how contractual notices should be given, where they should be served, and when they are deemed to have been received. The drafting notes explain the key differences between each clause to assist drafters in selecting the most suitable option for their specific transaction. Each version of the clause optionally allows service by email, but expressly excludes service of documents related to legal proceedings, arbitration or other methods of dispute resolution. .
