Master services agreement
A master services agreement (MSA) for the supply of services between a customer and a supplier. It can be used as a standalone agreement between two parties or as a framework under which services can also be provided and received by affiliates of the two main parties. The services, deliverables and charges are set out in separate statements of work (SOWs). Key areas addressed include supplier and customer responsibilities, service levels, payment terms, intellectual property ownership and licensing, data protection obligations, warranties and indemnities, limitations of liability and termination rights.
