A standard document providing a set of short form legal due diligence enquiries for a buyer's solicitors to use when investigating a target company in a private share acquisition. This document is designed to assist the buyer in making an informed assessment of the potential legal risks and liabilities involved in the proposed acquisition, and to determine whether to proceed with the transaction and on what terms. The questionnaire covers a wide range of legal and regulatory considerations, including corporate records, accounts, finance, material contracts, assets, intellectual property, data protection, employment, pensions, environment, application of the National Security and Investment Act 2021 and compliance with the Bribery Act 2010.
