A standard document containing a detailed set of long form legal due diligence enquiries for use in the context of a UK business and asset purchase transaction. This information request is designed to assist with a thorough legal review of a target business being acquired as a going concern. It covers a wide range of areas, including the seller's corporate structure, material commercial contracts and business assets such as real property, intellectual property (IP), and IT systems.
