Indemnity
A boilerplate indemnity clause for use in commercial contracts. The clause provides several optional indemnities addressing common areas of liability, including third party claims for intellectual property infringement, defective products or services, data protection breaches, and liabilities arising under the Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE). The clause also includes provisions for extending indemnity protection to affiliates and other third parties, managing the conduct of third party claims, addressing the impact of the indemnified party's own negligence, and clarifying whether a duty to mitigate loss applies.
