Directors' conflicts of interest: section 177 duty

A practice note providing an overview of the general duty imposed on company directors by section 177 of the Companies Act 2006. Subject to exceptions, section 177 requires any director who is in any way, directly or indirectly, interested in a proposed transaction or arrangement with the company to declare the nature and extent of that interest to the other directors.
