Deed of termination of contract
A standard document that can be used by parties to a commercial agreement to mutually terminate that agreement by deed. It sets out the terms for an orderly termination, establishing a clear termination date and specifying which provisions of the original agreement will continue in force. It provides optional clauses for either preserving accrued rights or achieving a clean break by releasing all claims, including those for negligence and fraud. The document also addresses post-termination confidentiality obligations concerning the agreement and the circumstances of its termination, and considers key practical issues such as the implications for third-party rights and guarantors.
