Complex framework services agreement
A framework agreement for the supply of services where the supplier (and, optionally, its affiliates) can provide services to the customer and its affiliates under separate call-off contracts. The framework agreement outlines the process for requesting services and entering into call-off contracts but does not contain substantive service obligations itself. A template call-off contract is included, addressing key areas in the supply of services such as the quality of the services, limitations of liability, ownership of intellectual property rights, data protection compliance, employee transfers under TUPE, and charges and payment terms.
