Board minutes: buyer (completion): share purchases
A standard document providing template minutes for a meeting of a board committee of a corporate buyer to approve completion of an acquisition of shares in a private target company, where there is an interval between the exchange of contracts and completion. The template minutes address related completion formalities, such as confirming that completion conditions under the share purchase agreement (SPA) are satisfied, and includes resolutions authorising execution of key documents, payment of the purchase price and other actions required to finalise the transaction.
